When to run a marketing agencies market entry checklist
A practical checklist for UK marketing agencies weighing market entry, covering demand evidence, registration duties and commercial readiness.
What to take away
- The checklist runs in a fixed ordersize demand, choose one sector and one region, set a floor price, incorporate the company, confirm VAT, then sign clients.
- Register at Companies House before you trade, but register for VAT only when taxable turnover passes £90,000 in any rolling 12 months.
- Quote a sourced demand figure rather than a directory count. The ONS business services release is a workable starting point.
- Company registration and VAT duties cover the whole UK. Advertising and data rules apply UK-wide too, while some trading rules are devolved.
- Write down the first three clients and the break-even client count before you commit to an office or a hire.
The market entry checklist in order
Work through these eight steps before you spend on a website or a brand.
- Size the region with a published dataset, and record its source and date.
- Choose one sector, then name the buyer job title and the budget line they control.
- Write the walk-away test, the number of clients at your floor price that covers fixed costs.
- Set the floor price and payment terms, then model one, three and six clients.
- Search the Companies House register to confirm your trading name is free.
- Incorporate the company and register for Corporation Tax.
- Confirm your VAT position and register only when turnover passes the threshold.
- Prepare the data protection pack and secure the first three clients.
Size the region with named demand evidence
Published releases beat directory counts. The ONS business services data reports turnover across UK service industries, so you can compare your region and sector against a sourced figure. Record the source and date.
Read the England market guide before you fix a region, because it explains how England sits inside the wider UK picture and how local demand differs.
Write the walk-away test in one line. An agency needing £3,650 a month for fixed costs and charging a £2,000 floor price needs two clients just to break even. If local demand cannot support that, stop.
Register at Companies House and check VAT
Have these ready before you pay the fee:
- A company name that is not already registered and contains no sensitive word.
- A UK registered office address.
- At least one director aged 16 or over.
- Memorandum and articles of association, or the model articles.
- Details of people with significant control.
- The £50 online incorporation fee.
Corporation Tax registration follows from incorporation. VAT is separate. You must register once taxable turnover passes £90,000 in any rolling 12 months, as GOV.UK's registration guidance sets out. The threshold has stood at £90,000 since 1 April 2024, and the standard rate is 20%.
Late payment has a statutory remedy. The Late Payment of Commercial Debts (Interest) Act 1998 allows interest at 8% above the Bank of England base rate, so set terms at 14 or 30 days and write them into the contract.
Price the first 12 months
Referral and partnership routes usually convert faster than cold outreach in a new region. The commercial opportunities piece sets out which channels bring the first retainer. Underpricing to win logos is the commonest failure, so set a floor and hold it.
At a £2,000 floor price, two retainers cover that cost base. Six retainers give you margin to invest. One retainer does not.
Example: a two-person agency entering a new region
Illustrative figures only. A studio with £3,650 of monthly fixed cost and a £2,000 floor price needs two retained clients to break even. Budget about £7,000 of cash for the first two months.
Break-even model
- 20 | retainer clients needed
- £2,000 | monthly fee per client
- £40,000 | monthly revenue to break even
Keep client data and advertising compliant
Most agency work touches personal data, from campaign audiences to CRM lists. You need a lawful basis, a retention schedule and a processor agreement with each client. The ICO data protection guide sets out each of those duties.
Build the pack once and reuse it, with a sub-processor list, a breach process and a named contact. Advertising claims sit under the ASA codes, and this review of agency advertising rules explains where self-regulation ends and statute begins.
Common questions
Does the checklist change across England, Scotland, Wales and Northern Ireland?
Partly. Company registration, VAT and Corporation Tax are UK-wide duties, and advertising and data rules also apply across the UK. Some licensing and trading rules are devolved, so check the nation before you sign a lease.
What is the VAT registration threshold for a marketing agency?
£90,000 of taxable turnover in any rolling 12-month period. Below that you may register voluntarily so you can reclaim input VAT, although you would then charge VAT on your fees.
Do you need a data processing agreement with every client?
Yes, where you handle personal data on their behalf. The client is usually the controller and you are the processor, so the agreement must cover the purpose, the retention period and the security measures.
